In Ontario, non-profit incorporated organizations are governed by a Board of Directors. Directors must exercise their authority in compliance with applicable legislation, the Letters Patent of the Corporation, the approved bylaws, adopted governance policies and procedures, and the body of common law applicable to Directors. Directors must act in the best interests of the Corporation they serve. Directors have fiduciary responsibilities in the exercise of their powers. The governing body establishes structures, clarifies functions and develops processes that enable its members to carry out their responsibilities. Extend-A-Family Kingston’s Board of Directors are:
